  1. Incorporation of LLC (Limited Liability Company) • Exempt Private Company- 20 members or less/ none of the shareholder is a corporate entity • Private Limited Company – No. of shareholders limited to 50 • Public Company limited by guarantee

  3. Foreign Individual To incorporate a company, a foreign individual must • Secure an Employment Pass; or • Apply for EntrePass; or • Appoint a Local Nominee Director

Branch Office A branch is a merely an extension of the foreign parent company. It does not have a distinct legal identity. 3. Representative Office An office set up mainly for the purpose of market research and studying business potentialities.

Company Name Reservation • Get the proposed company name approved before registration. • The name must be unique, nonidentical or phonetically different from any existed company name. • It should be devoid of any vulgar or obscene word. • Infringement of copyright issue must be avoided. • Use of certain words like "Bank," "Insurance," "University," etc. needs the approval of the external authority. • Once approved by the authority, it remains reserved for 60 days.

  8. Other Requirements • At least one local resident director must be appointed. Singapore Citizen, PR (Permanent Resident) or bearer of EP/EntrePass. • The director must be 18 years of age and above. He should not be bankrupt or convicted in any malpractices. • The number of shareholders has to be between 1 to 50. Both individual and corporate entity can be a shareholder. 100% local & foreign shareholding is allowed. • Appointment of a company secretary has to be done within six months from the date of incorporation.
