  15. PROFESSIONAL FEES AND EXPENSES

Executive Search Fees – Professional fees for executive search services are based on the candidate’s total first twelve months (or attributable to the first twelve months) cash compensation, including base salary and cash bonuses. Our business is typically conducted on a retained basis, but under certain circumstances can be structured as a success fee. Management Consulting Fees; M&A Advisory Fees – Are determined on a negotiated basis depending on the nature of the specific assignment. Other Expenses – We do not charge for engagement support expenses, administrative fees, research, set up fees or other out-of-pocket expenses such as report production or communication costs. Travel & Related Expenses –We do not charge for consultant (or candidate) travel or other out of pocket expenses unless approved by you prior to incurrence; and if so, are billed at cost. Payment Schedule – Retained fees are billed as negotiated in the mandate. In the case of executive search assignments, typically in three equal installments at the initiation of our work, at 30 days and at 60 days: a true-up of fees is made at the conclusion of the assignment. Off Limits –We agree not to recruit, nor cause to be recruited, any person from a client’s business organization, defined by business segment or geographic unit, for a period of twelve months after the completion of any executive search assignment. Performance Guarantee, Executive Search – If, for any reason not of your making, a hired candidate leaves your employment within one year, we will conduct a replacement search at no charge.   18. BIOGRAPHICAL SUMMARY DAVID BEED– Managing Partner Hartford, CT Dave is a Partner and founding member of JIRB Group, LLC – a firm specializing in management consulting and executive search. Dave has more than twenty-five years of management, marketing and recruiting experience, and he specializes in the recruitment of key executives for companies that are growing and going through significant changes. He has notable expertise conducting management evaluations as part of the due diligence process for acquisitions.   Prior to forming JIRB Group, LLC. Dave was Partner & Practice Leader of the Insurance practice at LAI Worldwide. At Deutsche Bank he managed a team of twenty finance professionals –deal structurers and modelers, collateral analysts and programmer developers. In this role he was responsible for all transaction structuring, portfolio analytics and model development within the bank’s Structured Credit Product Group. At Bank of America Dennis managed origination, structuring and marketing of collateralized debt obligations and arranged over $12 billion in transactions backed by asset backed securities, bank loans and corporate debt including the first balance sheet CLO by a US bank. He designed, developed and implemented BofA’s CDO structuring and modeling platform. At Merrill Lynch he developed computer models to structure ABS transactions and quantify the economics of alternative capital structures and credit enhancement techniques; and developed computer models to analyze and segment receivable portfolios.
