Investor Protection Association Recent achievements & plans Since the 2nd half of 2012 until present: • Election of about 50 independent directors to Russian companies at GSMs 2012; • Nominating IPA independent directors to the BoDs of 60 companies at AGSMs 2013 • 2. Cooperation with Rosimushchestvo (Federal Agency for State Property Management) • Implementing governance improvements to the state companies; • Consolidating votes with Rosimushchestvo as a minority shareholder • 3. Interaction with the FSFM (Federal service for financial markets) • Disclosing the Investment opinion referring to the “super-regulator” reform and integration with the Central Bank; • Suggesting new instruments to increase the influence of the FSFM; • Working actively to speed up amendments to the Russian legislation, including those concerning voluntary offers/mandatory buy-outs and establishing the Russian Corporate Governance Code.

Interaction with the Moscow Exchange to voice investors’ concerns and desires regarding the Exchange. • 5. Achieving consensus through negotiations with investors and issuers in numerous situations, including: • Consolidating investors in TNK-BP/Rosneft situation; • Potential AFK Sistema-Veropharm acquisition; • Mostotrest-SZKK acquisition; • Active work on the worst governance abuses in Russia in 2012: Seventh (7) Continent and Power Machines: courts, interaction with the FSFM; • The planned reform of the energy distribution companies in Russia (Russian Grids). • 6. Attraction of new investors to strengthen our lobbying power: 7 new members in 4 months
