Corporate Information INTRODUCTION LEADWAY ASSURANCE COMPANY LIMITED ('LEADWAY') is one of Nigeria's foremost insurance service companies, with a reputation for service efficiency and customer reliability. For over 45 years, LEADWAY has honored its underwriting commitments and has earned its reputation of excellence in claims handling. The evolution of LEADWAY since 1970 has mirrored the dramatic expansion of indigenous insurance service providers, with LEADWAY remaining in the forefront as an insurer of repute. The reputation enjoyed today by LEADWAY has been attained by the continuing pursuit of improvements to maintain competitive advantage. All aspects of the business are approached with discipline; the recruitment of staff, the development of products, the advancement of technologies and the personal service offered to each client.

  10. Corporate Information EQUITY BASE LEADWAY has a Shareholder’s Funds of over N47 billion (Forty-Seven billion naira. The Company has also enjoyed a steady growth in premium Income and total assets, which currently stands at over N 84.1 billion (Eighty-Four billion, One Hundred million naira only) & N 271 billion (Two hundred and Seventy One billion naira) respectively as at December 31, 2017. The Company has no loan stock, and internally generates funds for capital projects, backed by a carefully planned investment portfolio.

  11. Corporate Information INVESTMENT One of the strengths of LEADWAY is its investment portfolio being one of the largest in the insurance industry. The Company has over the years strengthened its participation in the Nigerian Equity & Debt capital market holding a significant value of Equity and Fixed income instruments in both government and private sector. These can be found in diverse industries such as banking, insurance, manufacturing, oil & gas, hospitality etc. Our total fund under management as at 31st December 2017 was N230 billion.   15. The Foundation LEADWAY has enjoyed a steady growth in its commitment to providing integrated insurance services to its numerous customers. The Company's remarkable success has been possible because of its sound professional and business standards backed by the uncompromising level of integrity of its Directors. This is a tradition imbibed at LEADWAY and instilled by its late founder, Sir (Dr.) Hassan O. Odukale, (KJW, FCIIN). An astute, honest businessman, founding Managing Director and later Chairman of the Board of Directors, Sir Odukale nurtured the Company to an enviable position in the Nigerian insurance industry. His vision of dedicated service to all customers remains a guiding principle that shapes the policies of the company.

  16. The Leadership The current Board of Directors consists of eminent Nigerians and seasoned businessmen of proven personal integrity. Gen. Martin Luther Agwai is the Chairman of the Board while other non-executive members are Mrs. Mowunmi Sotubo, Mr. Eugene Curley, Mr. Jeremy Rowse, Mr. Oluseyi Bickersteth, Mr Odein Ajumogobia. Mr. Oye Hassan-Odukale is the Managing Director / Chief Executive Officer, Mr. Tunde Hassan-Odukale is the Executive Director Financial Services and Systems while Ms. Adetola Adegbayi, is the Executive Director, General Business.   19. Products & Services REINSURANCE LEADWAY is aware of its customers' risk financing objectives and security. As a result, the Company ensures that its insurance policies are carefully backed up with world-class reinsurance arrangements. For over two decades, we have maintained a good relationship with Swiss Reinsurance Company. This widely known international reinsurance company leads on our major Treaties. Other companies participating on our treaties are Africa Reinsurance Corporation, Scor Africa, Continental Reinsurance Plc. and General Insurance Corporation of India. The Treaty arrangement for 2018 has been concluded with these companies and LEADWAY will be happy to provide further details as required.

  20. Products & Services CLAIMS PROCEDURE The Company's claim settlement procedure is simple and devoid of unnecessary bureaucracy. Motor claims, for example, are registered and adjusted in all LEADWAY branch offices, nationwide; while settlement within specified limits are done from these branches. Amounts outside the specified limits are done either from our Corporate Office in Lagos or Registered Office in Kaduna. For other policies that might require the appointment of loss adjusters, claims may be registered at any branch office and appointment of loss adjuster will depend on complexity and location of the loss. Under an arrangement with two of our principal bankers [Citibank & First Bank of Nigeria], we are able to use an On-line banking and fund transfer service to deliver 'claim' cheques to local branches within 12 hours of receiving the appropriate discharge voucher.

IT Infrastructure We operate a Network Operation Centre (NOC) with securely connected branches using VSAT technology that cuts across the 6 geopolitical zones of the country and several metropolitan networks based on secured wireless radio technology. This allows us integrate branch operations as well as providing online service to our customers via a secure network while still enhancing our throughputs with resources on the internet. Our application software evolved from the thick form based oracle client interface to the more preferred thin web based client interface. All our applications run on Oracle Database Engine, a robust DBMS known for its reliability, availability and good security features. In no more than a couple of key strokes, we are able to give accurate information on any risk assumed and the position of any claim that is settled, or still under process, including a listing of documents necessary to conclude a claim.

  23. IT Infrastructure Altogether, we have a complete integrated system with capabilities ranging from a full cycle point of sale quotation through system underwriting to policy generation. Through our website, we are able to grant our major brokers / clients access to areas of our database that relate to their business. The Company's decision to invest heavily on computerization is part of its corporate strategy to take advantage of the benefits offered by technology as a service enhancement tool and our preparedness to follow the trails of electronic commerce into the next century. This decision evidences the Company's commitment to the long-term success of its business and to ensuring its customers satisfaction in being able to provide fast and efficient services. LEADWAY engages the services of seasoned IT personnel who are professionals in their fields integrating Engineering, Communication and Software infrastructure to position the organization for the challenges in the industry.

IT Infrastructure One of the strategic objectives of the company is to continually play a leadership role in the use of information technology advancement in ensuring quality of products and services in the insurance domain, and to remain a benchmark for others in the industry. LEADWAY has grown from a purely manual-driven insurance outfit to a strong leading information technology-driven company with modern day IT tools and techniques. The IT infrastructures are acquired to specification to meet the organization's IT needs and facilitate quick response to customers' requests. Our messaging platform is powered by the Microsoft Exchange messaging tools. This tool facilitates access to e-mail messages at anytime of the day. The outlook web access allows staff to respond swiftly to customers' requests even from home while the mobile feature keeps staff working from their mobile machines where necessary. Both tools facilitate respond-to-requests anytime anywhere.

  31. Gen. Martin Luther Agwai is a Commander of the Order of the Federal Republic (CFR). He attended Government Secondary School (now Alhudahuda College), Zaria and holds a Post Graduate Diploma Administration with distinction from the Administrative Staff College of Nigeria (ASCON) as well as a Master of Science Degree in National Resource Strategy from the National Defense University (NDU) in Washington DC, USA. He enlisted into the Nigerian Armed Forces as a member of Regular Combatant Course 8 in 1970 and was commissioned in 1972. He rose swiftly through the ranks to the position of Chief of Army Staff in June 2003. He was later promoted to the rank of Four Star General and appointed the Chief of Defense Staff of the Nigerian Armed Forces in May 2006. Since his disengagement from active military service in 2009, he has been a Pro-Chancellor of a Nigerian university, Council member of two Nigerian universities and Chairman of Subsidy Reinvestment Programme (SURE-P).  He is a Chairman and member of several local and international boards.  He is presently a Visiting Professor to African Leadership Centre, King’s College, London.   32. Mr. Jeremy Rowse is a graduate of the Rhodes University (B. Comm) and the University of Cape Town (MBA), South Africa. He started his insurance career with African Life Assurance as a Marketing Manager in 1983 and rose to become the Chief Executive of the company in 2000. Under his leadership the company expanded its African operations in Botswana, Kenya and Namibia to include Zambia, Ghana and Tanzania. Mr. Rowse served as a member of the Board of the Life Offices Association of South Africa for over 7 years, as well as serving on President Kufour's Ghana Investment Advisory Counsel (GIAC) for over 4 years, after being nominated by The World Bank. He is on the board of directors of Nedgroup Life Assurance Company, South Africa.   33. Mrs. Mowunmi Sotubo attended St. Bernardine's Girls School in Oyo State between1968 – 1972. She holds a diploma in insurance from the Ahmadu Bello University in 1977. She joined Leadway as an underwriter in 1977 and rose to become the Controller, claims department before retiring in 2011 after 34 years of meritorious service. She attended various courses and trainings locally and overseas which includes Advance General Insurance organized by SwissRe, Leadership and Management Training by the Nigeria Institute of Management, Fraud Management in Insurance Industry etc. She is currently on the board of Directors, Leadway Properties and Investment Limited and also the Managing Director, Sables Nigeria Limited.   34. Mr. Eugene Curley is an accomplished business risk manager, campaign strategist and international affairs professional. He is currently Managing Director of London based CTF Solutions, a division of the CT Group, the leading UK/Australian campaigns strategy consultancy. Prior to being a businessman, Eugene was for over 25 years a senior career UK Diplomat. Eugene has a record of delivery in international operations and negotiations at Ministerial and Head of State level across the globe – having led policy operations for the British Government in Africa, Asia, Europe, the Middle East, the United States and Latin America. His broad experience covers political and geo-strategic issues, conflict resolution, international finance including sanctions, money laundering, intelligence and counter-terrorism – and his specialist advice is now invaluable for leading figures in all business sectors and services across the world. Eugene combines these skills with detailed economic and markets' experience gained from his time as an analyst at the Bank of England early in his career. He speaks fluent French and Spanish.   35. Mr. Odein Ajumogobia is a Senior Advocate of Nigeria (SAN), a Fellow of the Chartered Institute of Arbitrators FCI, Arb (London) and he is a leading environment and pollution litigator. He is also a former member of ICC, International Court of Arbitration in Paris. He attended University of Lagos with an LLB Honors and the Harvard Law School Massachusetts (LL.M). He served with the Nigerian Liquefied and Natural Gas (NLNG) as a Consultant and is a Partner, Ajumogobia and Okeke, a leading Commercial Law firm. He became the Attorney General and Commissioner for Justice, Rivers State from 2003 – 2007, thereafter he was appointed Minister of State for Petroleum Resources from 2007 – 2009 and also Minister of Foreign Affairs from 2009 – 2011.   36. Mr. Oluseyi Bickersteth is the current Chairman of Diamond Bank as well as a director of the Nigerian-South African Chamber of Commerce and a director of the Nigeria Economic Summit Group. He was head of tax and regulatory practice and served as engagement partner on major tax advisory and compliance projects. He was National Senior Partner of KPMG in Nigeria and doubles as the Chairman KPMG Africa. He played an oversight coordinating role in KPMG’s delivery of professional services to companies in the countries comprising the Gulf of Guinea including Nigeria, Cameroun, Angola, Equatorial Guinea & Gabon. He was the Head of the Oversight Committee for KPMG Africa and was involved in Vision 2010 of the Federal Government of Nigeria, which prepared a memorandum on the vision for Nigeria, by year 2010. He chaired a working group on “Nigerian Tax Reforms 2003 & Beyond” for the Federal Government of Nigeria. He served on the technical committee of the Federal Government that prepared the Petroleum Industry Bill (PIB) for the oil and gas sector. Mr. Seyi Bickersteth has a bachelor degree in Economics from the University of Ibadan and Master’s degree in Economics from the York University in Canada. He is a Fellow of the Institute of Chartered Accountants of Nigeria (FCA) and Chartered Institute of Taxation of Nigeria (FCTI). Mr. Oye Hassan-Odukale Oye Hassan-Odukale holds Bachelors and Masters Degrees in Business Administration from the University of Houston, and has since 1994 held the position of Managing Director/CEO of Leadway Assurance Company Limited, a leading Insurance Company in Nigeria. His appointment was preceded by several years of experience in insurance brokerage, underwriting, investments and general management. Oye is a recipient of the national honor, Member of the Order of the Federal Republic (MFR) and sits on the board of a number of companies in Nigeria, both for profit and non–profit. He was a Non-Executive Director on the Board of First Bank of Nigeria Plc; and now the current Chairman of FBNBank (UK) Ltd, a wholly owned subsidiary of FirstBank. He is also the current Chairman, Board of Trustees of the Lagos State Security Trust Fund (LSSTF) and a member of the Board of Special Olympics Nigeria. Oye is a Munich Re scholar and have attended executive programmes at Harvard Business School and Lagos Business School.   38. Mr. Tunde Hassan-Odukale is a graduate of the University of London and City University, London. He holds a Bachelor Degree in Pure Mathematics and a Postgraduate Diploma in Actuarial Science. He is on the board of directors of various blue-chip companies, which includes First Bank of Nigeria Limited and Digital Jewels Limited.   39. Ms. Adetola Adegbayi is a Legal Practitioner with extensive experience in legal research, corporate legal practice, insurance and financial services. She holds a Bachelor of Laws Degree of the University of South Wales and a Master of Laws Degree of the University of Bristol, England, graduating with distinction in Jurisprudence. She is also an Associate of the Chartered Insurance Institute, London, Associate, Chartered Insurance Institute of Nigeria and the Chartered Institute of Arbitrators, UK.   40. Mr. Sunday Oroleke holds a Bachelor of Laws Degree (LL.B) from the Obafemi Awolowo University; and is a Barrister and Solicitor of the Supreme Court of Nigeria. Prior to his joining the company, he spent some years working in the Lagos office of Gboye Gbolagunte & Co. where he acquired broad litigation and commercial law experience. He joined LEADWAY Assurance Company Ltd in 2005 as the Legal Affairs Manager. Mr. Sunday Oroleke has since then headed the department until he was appointed as the Acting Company Secretary on 6th December, 2012.   42. Mr. Tinashe Muyambo is a graduate of University of Melbourne Australia where he obtained a degree in Actuarial Studies in 2001. He has also been a member of the Institute of Actuaries of Australia (IAA) since 2007. He was the head, Africa Consulting at Towers Watson, United Kingdom from 2012 till 2015. Mr. Muyambo joined LEADWAY in 2016 and he is responsible for the coordination of Life Business and actuarial activities. Mr. Odalo Aimufia is an alumnus of University of Benin and University of Liverpool where he obtained a Bachelors degree in Geography and regional planning and MBA in Finance and Accounting respectively. Mr. Odalo is a Member Project Management Institute (PMI) ,Member Information Systems Audit and Control Association (ISACA). Mr. Odalo has served as Project Manager and Team Lead on various projects for clients in the manufacturing, telecommunications and financial service industries in Nigeria.

  43. Mr. Allan Olufade Suradj is an alumnus of University of Ibadan, Oyo state where he obtained a Nigeria certificate in Education. He also has an advanced diploma in Marketing Management from Obafemi Awolowo University and a Masters of Arts (MA), International Studies and diplomacy at the Washington International University, Washington, USA. He started his career with Leadway Assurance over 28 years ago working as the Head, Underwriting at the Port-harcourt branch. He has since held several positions at different branches of the company gaining awards, commendations and recognition. Mr. Allan has attended several courses in areas ranging from Bond/Insurance to Financial management. He is a member of the Chartered Insurance Institute of Nigeria and a Fellow of the Institute of corporate Administration, Nigeria (FCAI). Presently, Mr. Allan is a divisional Director, Abuja/North Leadway Assurance. Mr. Gboyega Lesi studied Civil Engineering at the University of Lagos, Nigeria. His professional insurance career started 21 years ago as a trainee risk surveyor. Since then he has gained experience in several aspects of risk management, insurance broking, underwriting, product development, Bancassurance and sales. Mr. Lesi has attended several courses over the years (locally and abroad) particularly in the areas of insurance underwriting, risk management, strategy, management, operations and marketing. Apart from a B.Sc. Degree in Civil Engineering, Mr. Lesi possesses an MBA from Aston University in Birmingham, UK. Mr. Lesi is also an Associate (ACII) of the Chartered Insurance institute of London and Nigeria. And a member of the Chartered Management Institute (MCMI) of London.

  44. Mr. Ernest Aziagba studied Economics and Statistics from University College, London and MSC in Actuarial Science from City, University , Cass Business School, London. Mr. Ernest is a student member of the institute of Actuaries UK, Certificate Diploma in Actuarial Techniques from Institute of Actuaries, Certificate in Finance and Investment from the Institute of Actuaries UK. Prior to his employment, he had worked with HR Nigeria Consultant and Actuaries, Unum Limited and Alexander Forbes Consulting Actuaries of Nigeria . Mrs. Kunbi Adeoti holds a bachelor degree in Economics and MBA General Management both from Obafemi Awolowo University. She is a certified professional with the Human Resource Certification Institute (HRCI) and a Senior Certified Professional of the Society For Human Resource Management (SHRM). Kunbi Adeoti is also a member of other local professional bodies like CIPM and NITAD. Her interests are in general Human Resources, organizational development, learning and effectiveness as well as change management. Prior to joining Leadway Assurance as Head, Human Resources Department (Divisional Director), she was a Principal Partner at Talent Centrix Consultancy. She believes in excellence and has demonstrated same in the course of her HR career spanning the Telecoms and Financial sectors.

  45. Mr. Nnamdi Odozi holds a MEng and BA Engineering from University of Cambridge, a Fellow of Institute of Actuaries and a Fellow of the American Society of Actuaries. Nnamdi Odozie is a Fellow of the Institute of Actuaries (FIA), Fellow of the American Society of Actuaries (FSA). He was part of the Life Assurance (ST2), and the Derivatives (ST6) papers Prior to his employment with Leadway Assurance Limited, he had worked with Lloyds Banking group, AvE Consulting Ltd., Jardine Lloyd Thompson, London, KPMG (London), and Aon consulting (London). Mr. David Abitoye holds a BSc in Economics from Obafemi Awolowo University, Nigeria with First Class honours. He is a Member of the Institute of Chartered Accountants of Nigeria (ICAN) and a Fellow of the Association of Chartered Certified Accountants UK (ACCA). Prior to his appointment as the Chief Finance Officer of Leadway Assurance Company, David worked with PricewaterhouseCoopers (PwC) Nigeria in a senior management role specializing in the Financial Services industry. During his time at PwC, he completed a one year international experience programme in the PwC UK office where he provided assurance services to several multinational corporations including major UK divisions of global banking and insurance groups. He is a seasoned financial professional with experience spanning assurance, project management, finance business transformation and integration.

  46. Mr. Oluwafemi Adebayo holds a Bachelor’s degree in Microbiology and a MBA (Management) both from University of Ilorin. He is an alumni of the Lagos Business school. Prior to joining Leadway, he had worked in Dangote Group as Area sales supervisor, IAL shipping Nig. Ltd as Business development coordinator, Standard Alliance as the Marketing Head & Silver Street Insurance Brokers as Marketing Manager. He currently leads the Life Sales team in Leadway Assurance Co. Ltd • Mr. Bamidele Lawal holds a Higher National Diploma in Insurance from The Federal Polytechnic, Bida, Niger State and started his insurance career in the Underwriting Department of Leadway Assurance Company Limited in 1998. Mr. Lawal has held several positions in the organization including the Reinsurance department and Retail Unit of Claims where he also doubled as the Head of Department. He has attended various courses on Reinsurance and Claims handling both locally and abroad. He is currently the Chief Technical Officer of the General Insurance division in Leadway Assurance Co. Ltd.
